Public Offer: Software License Agreement

Version of September 23, 2026

This is an English translation of the public offer published in Russian at https://licenses.the-done.app/legal/ru/offer. It is provided for convenience. In case of any discrepancy between the Russian and English versions, the Russian version prevails.

SOFTMUS Limited Liability Company (OOO «SOFTMUS», OGRN 1223900010784, INN 3900002327), represented by its General Director V. V. Kunitsyn acting on the basis of the Charter (the "Licensor"), offers any legally capable individual, sole proprietor or legal entity (the "Licensee") to enter into a license agreement granting the right to use the computer program "Done" on the terms set out below.

This document is a public offer under Article 437(2) of the Civil Code of the Russian Federation (the "Civil Code"). Performing the actions described in Section 3 constitutes acceptance of the offer and conclusion of a license agreement on its terms (the "Agreement"). The Licensor and the Licensee are jointly referred to as the "Parties".

1. Definitions

1.1. Software — the computer program "Done": an application for the Nextcloud platform for tracking working time and managing projects, teams and project economics, including its modules, updates and documentation. The exclusive right to the Software belongs to the Licensor.

1.2. Nextcloud — the open-source collaboration platform into which the Software is installed. Nextcloud is not the subject of the Agreement; the Licensee installs, configures and licenses it independently.

1.3. Website — the Licensor's websites at https://the-done.app and https://licenses.the-done.app, including the Customer Portal.

1.4. Plan — the set of Software features (modules), the term and the price of a License, as published on the Website and shown on the checkout page at the time of payment.

1.5. License — the right to use the Software on the terms of a simple (non-exclusive) license to the extent determined by the Agreement and the selected Plan.

1.6. License Key (the "Key") — a unique sequence of characters that confirms the lawful use of the Software and is required to activate the paid features of the Software on the Licensee's server.

1.7. Activation — binding a Key to a specific Nextcloud installation (server) by entering the Key in the Software interface.

1.8. Paid Period — the period for which the Licensee has paid for the License (a month, a year or another term stated in the Plan).

1.9. Update Period — the period during which the Licensee has access to new versions (updates) of the Software. Unless the Plan provides otherwise, the Update Period coincides with the Paid Period.

1.10. Customer Portal — the section of the Website at https://licenses.the-done.app/manager/ where the Licensee can see the purchased Licenses and Keys, payments and documents, download distributions and renew Licenses. The Licensee signs in either via a link sent to their e-mail address or with a login and password, depending on the sign-in method in effect on the Website.

1.11. License Text — the terms of use of a specific product or Plan, published on the Website and shown on the checkout page (if published).

2. Subject of the Agreement

2.1. The Licensor grants the Licensee, for a fee, the right to use the Software on the terms of a simple (non-exclusive) license (Articles 1235, 1236 and 1286 of the Civil Code) within the limits set by the Agreement and the selected Plan, in the following ways:

  • installing the Software into the Licensee's Nextcloud installation and running it;
  • using the Software features for their intended purpose in the number of installations determined by the Plan (as a rule, one Key for one Nextcloud installation on one server);
  • making backup copies of the Software for archiving and recovery;
  • receiving and installing Software updates released during the Update Period.

2.2. The Software may be used worldwide, unless otherwise provided by the laws of the Russian Federation.

2.3. The term of the License is determined by the Plan:

  • for Plans paid per period (monthly, yearly), the right to use the paid features is granted for the Paid Period and ends when it expires unless the License is renewed;
  • if the Plan description states that the License is perpetual, the right to use the versions of the Software obtained during the Update Period remains with the Licensee after it ends; only access to new versions ends with the Update Period.

2.4. Software features available free of charge (the "Basic" Plan) are distributed on the terms published in the Nextcloud app catalog. This Agreement governs the right to use the Software features available under paid Plans.

2.5. The Plan description and the License Text in effect at the time of payment form an integral part of the Agreement. The terms of a purchased License are fixed at the time of payment and are not affected by later changes to the Plans on the Website. If the License Text and this offer differ as to the scope and ways of using the Software, the License Text applies; otherwise, the offer applies.

2.6. Some Plans may have restrictions stated in their description, including a trial Plan that can be purchased for one installation (server) no more than once in 12 months.

3. Conclusion of the Agreement

3.1. The offer is accepted by paying the fee for the selected Plan (Article 438(3) of the Civil Code). Before paying, the Licensee confirms on the checkout page that they have read the offer and the License Text by ticking the corresponding box. The Agreement is concluded when the payment is received.

3.2. For legal entities and sole proprietors, paying an invoice issued by the Licensor on the basis of this offer also constitutes acceptance.

3.3. By accepting, the Licensee confirms that they have read and fully accept the offer, the License Text (if published), the Personal Data Processing Policy and the Privacy Policy, and a person accepting on behalf of a legal entity confirms that they are duly authorized.

3.4. The Agreement is concluded in writing by accepting the offer (Article 434(3) of the Civil Code). No separate paper document is signed.

4. Provision of the License

4.1. When placing an order, the Licensee provides an e-mail address. If a Customer Portal account already exists for that address, the Website may ask the Licensee to sign in before paying.

4.2. After the payment is confirmed, the Licensor automatically sends the Key (one Key per product included in the Plan) and the Customer Portal access details to the Licensee's e-mail address, usually within a few minutes and no later than 24 hours. The Keys are also shown in the Customer Portal.

4.3. The Licensor's obligation to grant the License is fulfilled when the Key is sent to the Licensee's e-mail address or shown in the Customer Portal, whichever happens first. No acceptance certificate is required. At the request of a Licensee that is a legal entity or a sole proprietor, the Licensor provides closing documents in electronic form.

4.4. The Licensee must provide a valid e-mail address accessible only to them or to persons they authorize. The Licensee bears the risk of providing an incorrect address. Upon a request sent from the address used for payment, the Licensor resends the Key.

4.5. Activation is performed by entering the Key in the Software interface. During Activation and later checks, the Software sends the Licensor technical data: the installation identifier, the host name, and the versions of Nextcloud, the Software and PHP. This data is used to bind the Key to the installation, provide updates and verify compliance with the License terms. The data that the Licensee and its employees keep in the Software (employees, projects, working time, finances) stays in the Licensee's Nextcloud installation and is not transferred to the Licensor.

4.6. A Key is moved to another installation (for example, when a server is replaced) through the Licensor's support; after the transfer, the Key stops working on the previous installation.

5. Price and Payment

5.1. The fee (License price) is determined by the Plan published on the Website (https://the-done.app/en/pricing/) and shown on the checkout page at the time of payment. The Licensor may change the Plan prices; changes do not apply to Licenses already paid for.

5.2. Payment is made in Russian rubles through the Robokassa payment service by bank card, via the Faster Payments System (SBP) or by other methods available on the payment page. Legal entities and sole proprietors may pay by bank transfer against an invoice.

5.3. A Plan price may be shown on the Website in a foreign currency. In that case the Licensee's obligation is denominated in the foreign currency and is paid in rubles at the Licensor's exchange rate on the order date (Article 317(2) of the Civil Code); the amount in rubles and the rate applied are shown to the Licensee before payment. If the payment page states that payment is made in a foreign currency, the payment service converts it under its own rules.

5.4. The payment is deemed made when the funds are received by the Licensor, as confirmed by the payment service. An electronic receipt is sent to the Licensee's e-mail address in accordance with Federal Law No. 54-FZ of 22 May 2003 on the use of cash registers.

5.5. The License price includes all taxes payable by the Licensor under its taxation regime. The amount of value added tax, if any, is shown on the receipt and in the closing documents.

5.6. The Licensor does not make automatic (recurring) charges. Each renewal is paid by the Licensee separately.

5.7. Fees charged to the Licensee by banks and payment systems are paid by the Licensee and are not reimbursed by the Licensor, unless the law provides otherwise.

6. Rights and Obligations of the Parties

6.1. The Licensor undertakes to:

  • grant the License and send the Key as described in Section 4;
  • provide access to Software updates during the Update Period;
  • provide technical support as described in Section 8;
  • keep information about the Licensee confidential in accordance with Section 11.

6.2. The Licensor may:

  • release Software updates and change its features and interface, keeping the main features of the paid Plan during the Paid Period;
  • verify compliance with the License terms by technical means of the Software, including checking the validity of the Key;
  • mark the copies (distributions) of the Software provided to the Licensee with a hidden identifier that makes it possible to establish the License under which a copy was provided;
  • suspend a Key in the cases provided for in clause 7.3.

6.3. The Licensee undertakes to:

  • use the Software only within the scope of the granted License;
  • keep the Key and access to the Customer Portal confidential;
  • meet the system requirements published on the Website;
  • promptly notify the Licensor of a change of e-mail address.

6.4. The Licensee may:

  • use the Software during the License term in the ways listed in Section 2;
  • receive Software updates during the Update Period;
  • contact technical support and receive answers to questions about installing, activating and using the Software.

7. Restrictions

7.1. Except as expressly permitted by Article 1280 of the Civil Code or by the Licensor's written consent, the Licensee may not:

  • distribute, sell, rent or otherwise make the Software available to third parties or grant sublicenses;
  • transfer the Key to third parties, publish it or otherwise make it available to an indefinite number of persons;
  • use one Key for more installations than the Plan allows;
  • modify, decompile or disassemble the Software, bypass or disable the license verification mechanisms, or remove the hidden marking of a Software copy;
  • remove or alter copyright notices and other notices of the Licensor's rights;
  • use the Software or its parts to create a competing product.

7.2. The exclusive right to the Software belongs to the Licensor and is not transferred to the Licensee. The Licensee is granted only the right to use the Software to the extent set out in Section 2.

7.3. In case of a material breach of Section 7, the Licensor may suspend the Key (deactivate the License) by notifying the Licensee by e-mail and stating the reason. If the breach can be remedied, the Licensor first sends a request to remedy it within a reasonable time (at least 5 business days). The fee for the period of a suspension caused by the breach is not refunded.

8. Technical Support and Updates

8.1. During the Update Period, new versions of the Software are available to the Licensee: they are installed by means of the Software and Nextcloud or downloaded from the Customer Portal.

8.2. Technical support is provided by e-mail at support@softmus.ru on business days (Monday to Friday, except public holidays in the Russian Federation) from 10:00 to 18:00 Moscow time. The Licensor aims to reply within two business days. Requests are sent from the e-mail address used for payment or must state that address.

8.3. Support covers installing, activating, updating and using the Software and does not include administering the Licensee's infrastructure, configuring Nextcloud or third-party software, or recovering the Licensee's data.

8.4. A License is renewed in the Customer Portal or by a new purchase on the Website at the prices in effect at the time of renewal. If a License is renewed before the Paid Period ends, the new period starts from the end date of the current one.

9. Warranties and Liability

9.1. The Licensor warrants that it holds the exclusive right to the Software to the extent necessary to grant the License and that the Software corresponds to its description on the Website.

9.2. Otherwise, the Software is provided "as is". The Licensor does not guarantee that the Software will meet all of the Licensee's expectations or run without errors in any environment, including an environment that does not meet the system requirements. Error reports are accepted by technical support; confirmed errors are fixed in updates within a reasonable time.

9.3. The Licensee is responsible for backing up the data kept in the Software and in Nextcloud. The Licensor has no access to such data and is not liable for its loss.

9.4. The Licensor's liability under the Agreement is limited to the fee actually paid by the Licensee for the relevant License. The Licensor is not liable for indirect damages or lost profits. These limitations do not apply where liability cannot be limited by law, including consumer rights under the Law of the Russian Federation No. 2300-1 of 7 February 1992 on the Protection of Consumer Rights.

9.5. The Parties are released from liability for non-performance caused by force majeure for as long as it lasts. The affected Party notifies the other Party within a reasonable time.

10. Withdrawal and Refunds

10.1. Before the Key is sent, the Licensee may withdraw from the Agreement and receive a full refund.

10.2. If the Key has been sent but no Key under the paid License has been activated, the Licensee may withdraw from the Agreement within 14 calendar days from the payment date. The amount paid is refunded in full, and the Keys sent are cancelled.

10.3. If the Software cannot be activated or does not work for reasons attributable to the Licensor, and support has not fixed the defect within 10 business days from the request, the Licensee may withdraw from the Agreement and receive a full refund regardless of Activation.

10.4. In other cases, after Activation the fee for the current Paid Period is not refunded, because the right to use the Software has been granted and exercised. This does not limit the Licensee's rights under consumer protection law.

10.5. A refund request is sent to payments@the-done.app from the e-mail address used for payment, stating the date and amount of the payment. The Licensor reviews the request and reports its decision within 5 business days. The refund is made by the same method as the payment within 10 calendar days from the decision; the time it takes for the funds to arrive depends on the Licensee's bank and the payment system.

10.6. The payment and refund procedure is explained in plain language on the "Payment and Refunds" page. In case of discrepancy, this offer applies.

11. Personal Data and Confidentiality

11.1. The Licensor processes the Licensee's personal data (e-mail address, login, information about Licenses, payments and Activations, technical data) to conclude and perform the Agreement in accordance with Federal Law No. 152-FZ of 27 July 2006 on Personal Data and the Personal Data Processing Policy.

11.2. Bank card details are not transferred to or processed by the Licensor: payment data is entered on the secure pages of the Robokassa payment service, which processes the payer's data as an independent operator.

11.3. The Parties undertake not to disclose to third parties information that became known to them in connection with the Agreement and is marked as confidential, except as required by law.

12. Term, Amendment and Termination

12.1. The Agreement is effective from acceptance until the end of the License term and, as regards warranties, liability and dispute resolution, until the Parties have fully performed their obligations.

12.2. The Licensor may amend the offer by publishing a new version on the Website at https://licenses.the-done.app/legal/ru/offer. A new version takes effect upon publication and applies to Agreements concluded after it is published. Agreements concluded earlier remain subject to the version in effect at the time of acceptance; its text is available from the Customer Portal.

12.3. The Agreement may be terminated by agreement of the Parties, in the cases provided for in Sections 7 and 10, and on other grounds provided by the laws of the Russian Federation.

13. Dispute Resolution

13.1. The Agreement is governed by the laws of the Russian Federation.

13.2. The Parties resolve disagreements through negotiation. Claims are sent by e-mail to payments@the-done.app and are reviewed within 30 calendar days of receipt.

13.3. If no agreement is reached, the dispute is referred to the court at the Licensor's location (the Arbitration Court of the Kaliningrad Region for disputes with legal entities and sole proprietors). A Licensee who is a consumer may go to court under the jurisdiction rules established by consumer protection law.

14. Final Provisions

14.1. Messages sent by e-mail from the Parties' addresses (for the Licensor — the addresses listed in Section 15; for the Licensee — the address used for payment) are legally significant (Article 165.1 of the Civil Code).

14.2. The Licensee may not assign its rights and obligations under the Agreement to third parties without the Licensor's written consent.

14.3. The invalidity of any provision of the Agreement does not affect the validity of its other provisions.

14.4. Trademarks and names of third parties, including Nextcloud, belong to their owners and are used to indicate the compatibility of the Software.
